The Village Board is required pursuant to Section 2(e) of the Illinois Open Meetings Act (the “Act”), 5 ILCS 120/2(e), to approved closed session minutes in open session. The following closed session meeting minutes are subject to approval, but not for public release: June 11, 2024, July 16, 2024, July 23, 2024, September 16, 2024, October 22, 2024, November 21, 2024, January 14, 2025, January 22, 2025, March 4, 2025, May 6, 2025, May 13, 2025, July 22, 2025, December 2, 2025, December 9, 2025, January 13, 2026, January 27, 2026, March 18, 2026, and March 24, 2026.

Background
As required by the Act, the Village Clerk keeps written minutes of all closed sessions. The proposed motion grants the Board’s approval of closed session meeting minutes in open session, but not for public release, as required by the Act.
This agenda item relates to the Board’s core values of transparency and accountability. The Law Department and Clerk’s Office have been working on this item to bring to the Board.
Timing Considerations
There are no specific timing considerations associated with this item, but a semi-annual review of all closed session meeting minutes for ongoing confidentiality should occur every six months pursuant to Section 2.06 of the Act. The semi-annual approval of confidentiality is currently scheduled for Board action on June 9, 2026.
Financial Impact
There is no budget impact associated with this item.
Operations Impact
The Law Department and Clerk’s Office are primarily responsible for this item. The Law Department spends approximately five (5) hours preparing the agenda item and reviewing closed session meeting minutes. The Clerk's Office spends approximately eight (8) hours per Board meeting attending closed session meetings and transcribing meeting minutes.

Staff Recommendation
Adopt the Motion.
Advantages:
• The approval of closed session meeting minutes in open session (not for public release) will be satisfied.
• Once closed session meeting minutes are approved, those minutes can be included in the semi-annual review to determine whether they can be released to the public.
Disadvantages:
• If the Motion is not adopted, the approval of closed session meeting minutes in open session (not for public release) will not occur.

The Board can elect not to adopt the Motion.
